Many people ask us why they should pay to have a kit printed for their company. There are two main reasons to buy a kit, one practical and the other legal.
The practical reason is that it makes compliance easy. Our company kits keep all of your corporate records in one place for easy retrieval. Legally, stock certificates used to be required, absent a resolution to the contrary by the board of directors. Recent changes in the law have eliminated the requirement that companies issue stock certificates. The corporation is required to keep a record of all stock transactions and current shareholders. Please remember that bearer shares in Delaware corporations are not allowed per Title 8, Section 158 of the General Corporation Law of Delaware. LLCs are not required to have a seal or membership share certificates although they are required to maintain a record of membership interests. The method of maintenance should be declared in the Limited Liability Company Operating Agreement (also know as a Limited Liability Company Agreement or LLC Membership Agreement).
