Doing business is defined differently in each of the fifty states and the District of Columbia. In general, you must register, and pay taxes, in any State or jurisdiction where you have an office, employee or economic nexus. The term economic nexus is intentionally vague since there is such wide variation between and among the states. In Delaware we do not have a hard and fast rule for doing business. There is a questionnaire available that you may fill out and send in for review by the State Division of Revenue. They will reply in about two weeks with an answer as to whether your activities constitute doing business.

There are some specific exclusions from the filing requirements for corporate taxes. They can be used as a general guideline for determining if you are doing business in Delaware or not.

Use of this service will require you to obtain a business license. The service is designed specifically for the purpose of allowing you to pay taxes in Delaware. When you order this service you must either order our business license acquisition service or you must apply for and obtain your own.
