Procuring a Delaware Business License

Business License Procurement is really signing up to pay taxes in Delaware. When you apply for the business license you are saying to the State "I do business here and would like to set up a tax account".

The license issuance will trigger filing requirements with both the State of Delaware Division of Revenue (Income, Gross Receipts, etc. taxes) and the United States Internal Revenue Service. Your company MUST have a Federal Tax Identification Number (EIN) to make use of this service.

The Division of Revenue will expect the following tax filings once you set up your tax account:

• Corporate or partnership annual return of income
• Quarterly payments of income taxes (IRS C Corporations)
• Gross receipts tax, applicable above $150,000.00 per quarter but must file regardless of receipts
• Payroll withholding if you employ workers
• Unemployment Insurance if you employ workers

Referrals are available to Delaware accountants and attorneys should you need help in making your tax filings. It is the client's responsibility to determine what filings may be required or advisable.

Delaware Intercorp, Inc., can help you get your business license or you can do it yourself with the State of Delaware Division of Revenue and have the license mailed to our office. If you intend to use our address as your company’s business address, you must purchase a Business Presence package.

There is an annual fee for maintaining a Delaware business license in addition to the tax filing requirements. The minimum annual license fee is $75.00 which will cover most license categories. Depending upon your business category, which is assigned by the Division of Revenue based on the business activities you describe on your application, the annual fee may be higher. More details regarding the license fees can be found on the State of Delaware, Division of Revenue’s website. The Division of Revenue will send a license renewal form towards the end of the calendar year. You may renew online directly with the State or send the State a check, or you may hire Delaware Intercorp, Inc. to renew the license online on your behalf. The State expects the license to be renewed on or before December 31st. If you fail to submit the renewed license to us by February of the New Year, we will terminate your Business Presence package.

The license can be renewed for one or three years. Please note that if you renew the license for three years, you must also pre-pay the Business Presence service for three years.

Delaware Intercorp will assist you with obtaining a Delaware Business License for your company by providing you with the application and hand-delivering the client-completed application to the Division of Revenue. A temporary license will be obtained within 3 business days with the permanent license following in approximately four to six weeks. The license will be posted conspicuously at our location as required by State law.

Delaware Intercorp’s license procurement service fee includes the State fee up to $75.00. If the State assigns a license category with a license fee in excess of $75.00, the client is responsible for paying the difference.

The license fee for the first year is prorated by the State for most business categories, and so we offer a discounted Business License Procurement fee throughout the second half of the year. Again, if the State assigns a license category for which the pro-rate does not apply, the client is responsible for the difference.
