Forming a Limited Partnership in Delaware
While we can help you take the steps necessary to create a Delaware Limited Partnership, Delaware law requires that the instrument of formation of a limited partnership be signed by all of the general partners. Because of that requirement, we cannot we offer online ordering of Limited Partnerships.
Please contact us for filing details or see Delaware Direct for do-it-yourself filing instructions. As with corporations and limited liability companies, we do not charge an additional amount to file the appropriate paperwork and fees with the State of Delaware on your behalf.
Our registered agent fee is the same as for corporations: $99.00 per year.
Like a corporation or limited liability company, a Limited Partnership is required to have a registered agent in the State of Delaware.
All Delaware Direct users who file the paperwork and fees themselves, should notify us by email of their intention to use Delaware Intercorp as the registered agent. The State contacts us upon receiving such a filing, and if we haven't been notified by you, the limited partnership may not get created. The email should indicate how they will be paying for the registered agent service. Our sample form can be used as the starting point for the process.
