• The filing fees from the State, and our first year registered agent fees are enough to create your Delaware Corporation or Limited Liability Company.

  Delaware Intercorp charges no fee for the incorporation of your company if we act as your registered agent. We charge no fees to create and file the formation papers and answer questions if we are to be the registered agent. Every corporation and limited liability company created as a Delaware company is required to have a registered agent open during normal business hours in Delaware. A registered agent acts as an intermediary between your company, and the Delaware Division of Corporations.
  
  The first year registered agent fee ($99.00) is required to be paid in advance and we cannot process refunds for the funds we distribute on your account.

  The prices listed above for corporations are minimums (based on a corporation with 1500 shares at no par value). Depending upon the number of shares that you desire, and their stated par value, the State of Delaware may require a greater amount for a corporation.   Additional pages in your certificate of formation of an LLC, or the certificate of incorporation for a corporation are charged $10.00 more per page by the State of Delaware.

  
  
  

  Corporate Kits

  
  
  

  You do not need to purchase a corporate kit to create a corporation or limited liability company. You probably should, however, have printed shares, or membership certificates, and purchasing a corporate kit is an easy way to fulfill that need. We have a number of corporate kits available.
  
  For example, the Corpex Heavy Duty kit ($95.00) includes: a corporate seal, share certificates, index tabs, a corporate record tickler, and a share transfer ledger in a very nice slipcase binder, with the name of the company printed in gold on the spine. The kit for a corporation includes everything you will need to customize your own by-laws including meetings schedule, sample by-laws, medical plan, and minutes. You can adopt all or part of the by-laws; some really good ideas are covered.
  
  Kits for LLC's contain similar features to the kit for a corporation, but geared towards an LLC, including a sample membership agreement.

• Employer Identification Number (EIN) - ($50.00 - available through us only at the time of formation) The EIN application to the IRS (Form SS-4) is included, at no charge, with your order for a corporation or LLC. If you would like us to file the forms with the IRS and procure an EIN (at the time of the formation of the company only), we will do so. We will need your social security number, if you have one, or your individual taxpayer identification number (ITIN) if you have one of those. The IRS normally takes a couple of days to process an EIN application if it is accompanied with a Social Security Number. We will require that you sign a copy of form SS-4 and send it to us to keep on file then we will secure the number with the IRS.
  
  US Banks require an EIN to open a business bank account. Check with the banks you might consider using to see what they require.
  
  Non US taxpayers who own domestic entities may apply for the ITIN in several ways outlined on the IRS website. There are special agents available to assist taxpayers in Berlin, London, Mexico City, Paris, Rome, Singapore, and Tokyo.

  
  
  

• Certificate of Good Standing - ($30.00 at formation, $60 afterwards) A statement, on paper, from the Delaware Secretary of State, that a company legally exists as a Delaware Corporation or Limited Liability Company, and is in good standing with the State of Delaware. This document may be required by another state or country when you register with them as a foreign company planning on doing business in their jurisdiction. A bank may also request a Certificate of Good Standing when you open a business account.

  
  
  

• Certified Copies - ($30.00 at formation, $60 afterwards) Certified copies of certificates of incorporation (for a corporation), or of formation (for an LLC). This document may be required by another state when you register with them as a foreign company planning on doing business in their jurisdiction. A bank may also request a certified copy of the formation document when you open a business account.

  
  
  

• Apostilles - ($50.00 at formation, $80 afterwards) Apostillized copies of Certificates of incorporation (for a corporation), or of formation (for an LLC). This document may be required by a country when you register with them as a foreign company planning on doing business in their jurisdiction (for countries that are signatories to the Hague Convention on Legalization of Documents).

  Delaware Intercorp charges $99.00 per year to act as your Registered Agent. Our office is open during normal business hours to accept service of process as is required by Delaware Law. We will forward official mail from the State of Delaware and send you an email notice upon receipt of service.

  
  
  
  
  

  Franchise Tax:

  
  
  

  All Corporations, Limited Liability Companies, and Limited Partnerships are required to pay Franchise Tax to the State of Delaware every year.
  
  The State of Delaware will charge you a fee for maintaining your registration in the State. This fee is called a Franchise Tax and it is $60.00 for most small corporations. See our Delaware Franchise Taxes and Filing Fees page for more information on how to calculate franchise taxes for corporations, based upon the number and value of shares. LLCs and most Limited Partnerships pay $200.00 every year.
  
  The Delaware Division of Corporations sends the franchise tax notice to the registered agent for each company. Our office will forward your franchise tax notice to you promptly so you can pay your taxes on time. The State of Delaware has recently added the capability to enable you to pay your Franchise Tax Bill online directly with the Delaware Division of Corporations.   Most people do not need more than the basic registered agent service, which includes forwarding official notices from the State of Delaware. If you would like additional mail forwarding, subscription to our mail forwarding service and payment of a fee is required.
