The Bottom Line: State fees and the first year's Registered Agent Fee. LLC = $189.00

CORP. = $188.00

  • The filing fees from the State, and our first year registered agent fees are enough to create your Delaware Corporation or Limited Liability Company.
Those fees are explained in a little more detail below.

  • You may need some other documents such as Certified Copies, Certificates of Good Standing, EIN applications, Corporate Kits, etc.
Take a look below at what some of these things might be required for, and let us know if you might need any of those additional documents.

  • Delaware Intercorp Charges

Delaware Intercorp charges no fee for the incorporation of your company if we act as your registered agent. We charge no fees to create and file the formation papers and answer questions if we are to be the registered agent. Every corporation and limited liability company created as a Delaware company is required to have a registered agent open during normal business hours in Delaware. A registered agent acts as an intermediary between your company, and the Delaware Division of Corporations.

The first year registered agent fee ($99.00) is required to be paid in advance and we cannot process refunds for the funds we distribute on your account.

    One Time Charges

    State and County Filing Fees

Our Online Calculator allows you to "play with the numbers" to see how much stock at what par value you can afford.

The Delaware government fees we will distribute for you at the time of creation of your company are:

    FEE CORPORATION LLC
    State Filing Fee
    (including other fees):
    $89.00 minimum $90.00
    TOTALS: $89.00 $90.00

The prices listed above for corporations are minimums (based on a corporation with 1500 shares at no par value). Depending upon the number of shares that you desire, and their stated par value, the State of Delaware may require a greater amount for a corporation. More details regarding the filing fees for a corporation or limited liability company can be found on our Delaware Franchise Taxes and Filing Fees page. You may also try out various combinations of stock and par value using our online filing fee calculator

Additional pages included with your of incorporation will incur a $9.00 per page charge assessed by the State of Delaware.

    Corporate Kits

You do not need to purchase a corporate kit to create a corporation or limited liability company. You probably should, however, have printed shares, or membership certificates, and purchasing a corporate kit is an easy way to fulfill that need. We have a number of corporate kits available.

For example, the Corpex Heavy Duty kit ($95.00) includes: a corporate seal, share certificates, index tabs, a corporate record tickler, and a share transfer ledger in a very nice slipcase binder, with the name of the company printed in gold on the spine. The kit for a corporation includes everything you will need to customize your own by-laws including meetings schedule, sample by-laws, medical plan, and minutes. You can adopt all or part of the by-laws; some really good ideas are covered.

Kits for LLC's contain similar features to the kit for a corporation, but geared towards an LLC, including a sample operating agreement (sometimes referred to as a membership agreement or Limited Liability Company agreement).

Our new Economy kit offers the same functionality in a more economical slip case binder for $65.00. Visit our corporate kit page for pictures, and a complete list of the kits we offer.

    Some Additions to Consider

The following items are also available for an additional charge:

  • Employer Identification Number (EIN) - ($70.00 at formation, $100.00 afterwards) The EIN application to the IRS (Form SS-4) is included, at no charge, with your order for a corporation or LLC. If you would like us to file the forms with the IRS and procure an EIN, we will do so through our EIN Procurement Service. The IRS normally takes a couple of days to process an EIN application if it is accompanied with a Social Security Number. We will require that you sign a copy of form SS-4, as well as a Third Party Designee Form, and send them to us to keep on file. We will then secure the number with the IRS.

US Banks require an EIN to open a business bank account. Check with the banks you might consider using to see what they require.

  • Certificate of Good Standing - ($50.00 at formation, $85.00 afterwards) A statement, on paper, from the Delaware Secretary of State, that a company legally exists as a Delaware Corporation or Limited Liability Company, and is in good standing with the State of Delaware. This document may be required by another state or country when you register with them as a foreign company planning on doing business in their jurisdiction. A bank may also request a Certificate of Good Standing when you open a business account.

  • Certified Copies - ($50.00 at formation, $87.00 + $2.00 each additional page afterwards) Certified copies of certificates of incorporation (for a corporation), or of formation (for an LLC). This document may be required by another state when you register with them as a foreign company planning on doing business in their jurisdiction. A bank may also request a certified copy of the formation document when you open a business account.

  • Apostilles - ($80.00 at formation, $117.00 plus $2.00 each additional page afterwards when applicable) Apostillized copies of Certificates of incorporation (for a corporation), or of formation (for an LLC). This document may be required by a country when you register with them as a foreign company planning on doing business in their jurisdiction (for countries that are signatories to the Hague Convention on Legalization of Documents).

  • Pre-Printed Delaware minutes and by-laws - ($25.00 - Note that these are included already in all kits.) Includes meetings schedule, sample by-laws, medical plan, and minutes. You can adopt all or part of the by-laws, some really good ideas are covered.

  • Corporate Forms CD - ($35.00) Includes forms and sample resolutions for operation and maintenance of your company.

  • Fictitious Name Registration (DBA) - ($75.00) A service for filing of a Fictitious Name Certificate in any of the three (3) counties in Delaware.
